Welcome to Enveral.

These Terms & Conditions ("Terms") govern your access to and use of Enveral, an AI-powered video creation platform operated by Technoid LLC ("Technoid," "Enveral," "we," "us," or "our").

By accessing or using Enveral, you agree to these Terms. If you do not agree with these Terms, you should not use the Service.

1. About Enveral

Enveral provides tools that allow users to upload or submit video and other content and use AI-powered functionality to create, edit, transform, or generate short-form video content.

Features may change, be added, or be removed over time.

We may modify, suspend, or discontinue any part of the Service where reasonably necessary.

2. Eligibility

You must be at least 16 years old to use Enveral.

By using the Service, you represent that:

• You are at least 16 years old;
• You have the legal capacity to enter into these Terms;
• The information you provide to us is accurate to the extent necessary to use the Service; and
• Your use of Enveral complies with applicable laws and regulations.

If you are using Enveral on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Your Account

Certain features may require you to create an account.

You are responsible for:

• Maintaining the confidentiality of your account credentials;
• Keeping your account information accurate;
• Protecting access to your account; and
• Activities carried out through your account.

You must notify us if you believe your account has been accessed without authorization.

We may suspend or restrict an account where we reasonably believe that the account is being used in violation of these Terms, applicable law, or the security of the Service.

4. User Content

You may upload, submit, or otherwise provide content to Enveral, including videos, audio, images, links, and other materials ("User Content").

You retain ownership of your User Content.

You are solely responsible for your User Content and for ensuring that you have all rights, permissions, licenses, and consents necessary for Enveral to process and use that content as contemplated by these Terms.

5. License to Enveral

By submitting User Content to Enveral, you grant Technoid LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, modify, and otherwise use your User Content solely as reasonably necessary to:

• Provide the Enveral Service;
• Process your requests;
• Generate outputs requested by you;
• Operate, maintain, and secure the Service;
• Provide technical support; and
• Comply with applicable law.

This license exists only for the purposes described above and does not transfer ownership of your User Content to Technoid.

Where third-party technology providers are required to process User Content in order to provide Enveral functionality, you authorize us to make the necessary disclosures and transfers described in our Privacy Policy.

6. AI-Generated Content

Enveral may use artificial intelligence and automated technologies to generate or transform content.

AI-generated results may include video clips, text, titles, descriptions, hashtags, suggestions, summaries, or other outputs.

AI-generated content may not always be accurate, complete, unique, or suitable for your intended purpose.

You are responsible for reviewing outputs before publishing, distributing, commercializing, or otherwise relying on them.

You understand that similar or identical outputs may be generated for different users, particularly where outputs are based on similar source material or common instructions.

7. Ownership of Generated Content

To the extent permitted by applicable law and subject to the rights of third parties, you may use outputs generated for you through Enveral.

However, AI-generated material may not always qualify for copyright or other intellectual-property protection in every jurisdiction.

You are responsible for determining whether your intended use of generated content is legally permitted.

Nothing in these Terms transfers ownership of third-party material incorporated into or used to generate an output.

8. Third-Party Content and Platforms

Enveral may allow you to submit publicly accessible links or content originating from third-party platforms.

You must have the legal right to access and use the content you submit.

You must not use Enveral to download, reproduce, modify, distribute, or exploit content in violation of:

• Copyright law;
• Trademark law;
• Privacy rights;
• Publicity rights;
• Intellectual-property rights;
• Applicable law; or
• The terms of a third-party platform.

Third-party platforms are independent from Enveral.

Your use of third-party platforms remains subject to their own terms and policies.

9. Prohibited Uses

You may not use Enveral to:

• Violate any applicable law or regulation;
• Infringe another person's intellectual-property rights;
• Violate another person's privacy or publicity rights;
• Upload content you do not have the right to use;
• Create or distribute unlawful content;
• Attempt to gain unauthorized access to the Service;
• Interfere with the operation of the Service;
• Circumvent technical or access restrictions;
• Use the Service to harm, harass, threaten, impersonate, or defraud another person;
• Upload malicious software or harmful code;
• Abuse the Service or use it in a manner that could reasonably interfere with other users;
• Use the Service to facilitate illegal activity; or
• Attempt to reverse engineer, copy, or reproduce material aspects of the Service except where such restriction is prohibited by applicable law.

We reserve the right to take appropriate action where we reasonably believe the Service is being used in violation of these Terms or applicable law.

10. Intellectual Property

The Enveral name, brand, website, software, interface, design, logos, graphics, documentation, and other materials provided by Technoid are owned by or licensed to Technoid and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

• Copy;
• Modify;
• Reproduce;
• Distribute;
• Sell;
• Lease;
• License;
• Reverse engineer; or
• Create derivative works from

the Service or its proprietary materials.

Nothing in these Terms grants you ownership of Technoid's intellectual property.

11. Feedback

If you provide suggestions, ideas, recommendations, or feedback about Enveral, you grant Technoid the right to use that feedback without restriction or compensation, including to improve, develop, and operate the Service.

You retain ownership of any independently protected intellectual property contained in feedback to the extent applicable law provides such protection.

12. Third-Party Services

Enveral may rely on third-party services to provide certain functionality.

These services may include AI, authentication, hosting, communications, or other technology providers.

Third-party services may have their own terms and policies.

Technoid is not responsible for the independent operation, availability, policies, or practices of third-party services.

Your use of a third-party service may be subject to that provider's separate terms.

13. Privacy

Your use of Enveral is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

The Privacy Policy forms part of these Terms.

14. Availability and Changes to the Service

We aim to provide a reliable Service, but we do not guarantee that Enveral will always be:

• Available;
• Uninterrupted;
• Error-free;
• Secure;
• Compatible with every device or browser; or
• Free from defects.

We may modify, suspend, limit, or discontinue features of Enveral at any time.

Where reasonably possible, we may provide notice of significant changes.

15. No Professional or Guaranteed Results

Enveral is a software and AI-powered creative tool.

We do not guarantee that:

• AI-generated results will be accurate;
• Generated clips will perform well on any social-media platform;
• Content will receive views, engagement, followers, revenue, or other results;
• Outputs will satisfy a particular creative or commercial purpose; or
• The Service will meet every user's particular requirements.

You are responsible for evaluating and reviewing content before using or publishing it.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Enveral is provided on an "as is" and "as available" basis.

Technoid disclaims warranties, representations, and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are prohibited by applicable law.

Nothing in these Terms excludes or limits a warranty or consumer protection right that cannot legally be excluded or limited.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Technoid LLC and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from or relating to your use of Enveral.

To the maximum extent permitted by applicable law, the aggregate liability of Technoid arising from or relating to the Service or these Terms will be limited to the amount, if any, you paid to Technoid for the Service during the twelve months preceding the event giving rise to the claim.

If you have not paid any amount for the Service, the maximum aggregate liability will be limited to US$100, to the extent permitted by applicable law.

Nothing in this section limits liability that cannot legally be limited or excluded.

18. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Technoid LLC and its affiliates, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:

• Your User Content;
• Your violation of these Terms;
• Your violation of applicable law;
• Your infringement of another person's rights; or
• Your misuse of the Service.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

19. Suspension and Termination

You may stop using Enveral at any time.

We may suspend or terminate your access to Enveral where we reasonably believe that:

• You have violated these Terms;
• Your use creates a security or legal risk;
• Your account is being used for unlawful or abusive activity;
• Suspension is necessary to protect the Service or other users; or
• We are required to do so by law.

Where appropriate and reasonably possible, we may provide notice before terminating or suspending access.

Upon termination, provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, and dispute-related matters.

20. User Content After Termination

If your account is terminated or you stop using Enveral, your User Content will be handled in accordance with our Privacy Policy and applicable law.

Where you delete your User Content, we may retain limited information where reasonably necessary for legal, security, fraud-prevention, dispute-resolution, or other legitimate purposes.

21. Copyright and Intellectual-Property Complaints

If you believe that content available through Enveral infringes your copyright or other intellectual-property rights, you may contact us at:

Your notice should contain sufficient information for us to understand the work or right involved, the allegedly infringing material, and how to contact you.

We may take appropriate action in response to valid complaints.

22. International Users

Enveral is available internationally.

You are responsible for complying with the laws applicable to you when using the Service.

Nothing in these Terms is intended to deprive consumers or users of mandatory protections that apply under the law of their jurisdiction.

Certain provisions of these Terms may therefore be subject to mandatory local laws.

23. Governing Law

These Terms will be governed by the laws applicable to Technoid LLC, without regard to conflict-of-law principles, except to the extent that mandatory consumer-protection or other applicable laws provide otherwise.

Where applicable law gives you the right to bring a claim in your local jurisdiction or provides mandatory protections that cannot be waived, those rights remain unaffected.

Because the applicable corporate jurisdiction and dispute venue for Technoid LLC have not been provided, this section intentionally does not invent a specific state, country, court, or arbitration forum.

24. Changes to These Terms

We may update these Terms from time to time.

When we update them, we will change the "Last Updated" date at the beginning of the Terms.

If changes are material, we may provide additional notice where required by applicable law.

Your continued use of Enveral after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

25. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

26. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to particular Enveral features, constitute the agreement between you and Technoid LLC concerning your use of the Service.

If there is a conflict between these Terms and a specific additional term applicable to a particular feature, the specific additional term will control for that feature to the extent of the conflict.
